Cancellation in plain language
You may request cancellation at any time. The financial outcome will depend on the notice provided, work already completed, resources already committed, and expenses incurred before the cancellation became effective.
Scope of this policy
This policy applies to cancellations involving:
- Website, application, software, and system development projects.
- Software maintenance, support, hosting, cloud, DevOps, cybersecurity, and consulting services.
- Monthly retainers, subscriptions, support plans, and recurring services.
- Consultations, tutoring, mentorship, workshops, training, and scheduled technical sessions.
- Project reservations, discovery sessions, implementation bookings, and related services.
A signed agreement, proposal, quotation, or statement of work may contain additional cancellation conditions. Mandatory consumer rights will always take priority where applicable.
How to cancel a service
Cancellation requests must be submitted in writing to info@proit.dev.
The request should include:
- The client's full name or registered business name.
- The invoice, quotation, booking, project, or transaction reference.
- The service being cancelled.
- The requested cancellation date.
- The reason for cancellation, where the client is comfortable providing it.
Cancellation normally becomes effective when ProIT Solutions receives the written notice, unless a later date is requested or agreed in writing.
Verbal notices and social media messages should be confirmed by email to avoid misunderstanding or uncertainty.
Custom project cancellations
A client may request cancellation of a custom project before completion. ProIT Solutions will calculate the final account based on the project stage at the effective cancellation date.
Before commencement
Where no work has started, the client may qualify for a full refund, less unavoidable third-party expenses already incurred.
During discovery
Discovery, research, consultation, planning, architecture, and specification work completed before cancellation remain payable.
During development
Completed development, design, testing, configuration, project management, and approved milestones will be deducted from any eligible refund.
Near completion
Where substantially all agreed work has been completed, the remaining project amount may still be payable under the applicable agreement.
A project deposit is not automatically forfeited. It will first be applied to completed work, reserved resources, and reasonable expenses. Any remaining eligible balance will be handled according to the Refund Policy.
Completed files and deliverables may be released after all valid outstanding amounts have been settled.
Subscriptions and recurring services
Monthly support plans, maintenance arrangements, hosting, retainers, subscriptions, and other recurring services may be cancelled by providing written notice before the next billing date.
- Cancellation prevents future renewal charges after the effective cancellation date.
- The client will ordinarily retain access until the end of the period already paid for.
- Partial-period or prorated refunds are not guaranteed unless required by law or agreed in writing.
- Outstanding usage charges, additional work, licences, cloud services, domains, and third-party expenses remain payable.
- The client is responsible for exporting or requesting a transfer of their data before service access ends.
Where a service has a fixed term or minimum commitment period, the client may still request early cancellation. Any reasonable cancellation charge will be calculated according to the agreement, notice provided, services already supplied, and applicable law.
Consultations, tutoring, training, and bookings
Scheduled sessions reserve dedicated time that may not be available to another client. The following notice periods ordinarily apply:
Genuine emergencies and exceptional circumstances will be considered fairly. ProIT Solutions may request reasonable supporting information where appropriate.
Where ProIT Solutions cancels a session, the client may choose a replacement booking, account credit, or refund for the affected session.
Client delays and inactive projects
Projects depend on timely feedback, decisions, approvals, content, credentials, and system access from the client.
- Project timelines may be extended where required information, access, or approval is delayed.
- ProIT Solutions may pause a project after fourteen consecutive days without the required client response.
- A project that remains inactive for thirty days may be administratively closed after written notice.
- Completed work, reserved resources, and third-party expenses remain payable.
- Restarting an inactive project may require a revised schedule, updated quotation, or reasonable reactivation charge.
ProIT Solutions will make reasonable attempts to contact the client before pausing or administratively closing an inactive project.
Cancellation or suspension by ProIT Solutions
ProIT Solutions may suspend or cancel a service where reasonably necessary, including where:
- An invoice remains unpaid after the agreed due date.
- The client materially breaches the applicable agreement.
- The client requests unlawful, harmful, deceptive, abusive, or unethical work.
- Required cooperation, access, information, or approval is repeatedly withheld.
- Continuing the service creates a security, legal, operational, or reputational risk.
- A third-party platform or service required for delivery becomes unavailable.
Where ProIT Solutions cancels a service for reasons not caused by the client, the unearned portion of payments relating to services that will not be supplied may be refunded.
Where cancellation results from a material client breach, completed work, reserved resources, and reasonable project costs remain payable.
Reasonable cancellation charges
Where a cancellation charge is permitted, ProIT Solutions will calculate it reasonably by considering:
- The nature and duration of the service or booking.
- The amount of notice provided.
- The work already completed.
- The project stage and approved milestones.
- The resources or specialist time already reserved.
- Non-recoverable third-party expenses.
- Whether the reserved capacity could reasonably be allocated to another client.
- Any savings received because the service will no longer be completed.
A cancellation charge will not be used as an unlawful penalty or to remove a right protected by applicable consumer law.
Cooling-off and consumer rights
Consumers may have additional cancellation rights under applicable South African consumer and electronic transaction legislation.
The availability of a statutory cooling-off right may depend on how the agreement was concluded, the type of service, whether service performance has already started, and whether a legal exception applies.
This policy must be interpreted consistently with the Consumer Protection Act, the Electronic Communications and Transactions Act, and any other applicable legislation.
